How Do Bitcoin Treasury Companies Work? The Business Model Behind BTC per Share

Bitcoin treasury companies raise or generate capital, acquire Bitcoin, and try to make the Bitcoin backing each diluted share grow over time. The model works when new financing adds BTC faster than it expands the effective share count and when interest, preferred dividends, fees and operating costs do not consume the benefit.

The process is often called a flywheel, but it is conditional rather than automatic. A market premium can make issuance accretive; a discount can reverse the same arithmetic. Investors must follow both sides of every transaction: the Bitcoin purchased and the security or liability created to pay for it.

The business model in six connected steps

The first steps are setting a policy and selecting funding. Management must define purchase authority, custody and liquidity controls, then choose between operating cash, common equity, convertibles, preferreds or debt. Each route changes the claim held by existing shareholders.

The remaining steps are execution and measurement: close the financing, settle BTC, update liabilities and diluted shares, then compare Bitcoin per share with the pre-transaction baseline.

The definition of a Bitcoin treasury company explains why all six steps matter. Merely completing step three does not establish a durable treasury operation.

When issuing common stock increases BTC per share

Consider a company with 2,000 BTC and 20 million diluted shares. Each share is backed by 0.0001 BTC, or 10,000 satoshis, before liabilities. If the company issues 2 million shares and uses net proceeds to buy 260 BTC, holdings rise 13% while shares rise 10%. Bitcoin per share becomes approximately 10,273 satoshis, a 2.73% increase.

The transaction is accretive on Bitcoin per share, but that conclusion is narrower than “good for shareholders.” It excludes fees, tax, overhead, market-price changes and the value of any operating business. It also says nothing about whether the stock was attractive at the price paid by the investor.

Common issuance is most powerful when the stock trades at a durable premium to adjusted NAV. It becomes harder near NAV and can be destructive below NAV unless the company receives another compensating asset or strategic benefit. What a $1,000 shareholder actually experiences

Suppose the company trades at $10 before the raise and an investor owns 100 shares, worth $1,000. If the stock price stays at $10 after the accretive transaction, the investor still owns 100 shares, but each share represents about 2.73% more BTC than before. That is an improvement in Bitcoin exposure, not a guaranteed 2.73% stock return: the market can reprice the premium, the operating business can change, and the investor may have bought at a different price.

The reverse is equally important. If management issues 5 million new shares to buy only 100 BTC, holdings become 2,100 BTC and diluted shares become 25 million. BTC per share falls from 10,000 to 8,400 satoshis. The company has more Bitcoin in total, yet the original holder owns a smaller slice of the reserve. This is why a headline such as "the company bought more BTC" is not enough to judge the transaction.

The practical test is to rebuild this small table from the filing: use settled BTC, the fully diluted denominator and net proceeds after fees. If one of those three inputs is missing, the transaction may sound impressive while remaining impossible to evaluate.

Debt and preferred capital reshape the result

Debt can buy Bitcoin without increasing common shares immediately. That makes the first version of BTC per common share look stronger, but the company has added interest, maturity and possibly collateral requirements. A convertible may become equity later, so both the current and if-converted denominator are relevant.

Preferred stock can provide long-duration capital, yet its dividends and liquidation preference sit ahead of common equity. The useful lesson is instrument-level, not company-specific: record coupon, maturity, collateral, conversion terms and liquidation preference before deciding whether a financing helped common shareholders. A holdings headline alone omits the claims created to reach that scale.

The label "debt free" can still hide a meaningful fixed economic claim. Preferred shares may not appear as debt, but their distributions and liquidation rights still sit ahead of common equity. The filing test is to show debt, preferred claims and diluted shares in separate rows rather than treating one as a substitute for another.

The operating business can fund or drain the treasury

An operating business can improve the model if recurring free cash flow buys BTC without issuing securities. It can also weaken the model if losses, acquisitions and payroll require repeated financing. Analysts should separate cash generated by operations from cash raised in capital markets; combining them obscures whether the treasury engine is self-funding.

Twenty One is a useful hybrid. Its Q1 2026 filing described Bitcoin accumulation alongside planned education and financial services, while a later operating-plan announcement discussed potential financial-services, mining and acquisition activities. Those plans may diversify future cash flow, but projections should not be valued as established earnings.

The correct bridge begins with reported operating cash flow, subtracts recurring corporate cash costs and isolates financing proceeds. Only the residual operating cash available for BTC acquisition deserves credit as internally funded accumulation.

A real operating-company example: Semler Scientific

The practical reading order is simple: check whether the company can fund payroll and core operations first, then identify how much cash or financing is available for BTC purchases. A treasury strategy is stronger when the operating business can survive a Bitcoin drawdown without selling the reserve. What shareholders actually own

The word "Bitcoin exposure" hides four different securities. Holding BTC directly gives the investor the asset itself; a spot ETF gives a fund share designed to track the asset after fees; common stock gives a residual claim on a company that may hold BTC alongside debt, preferred securities and an operating business; preferred or convertible securities create a senior or creditor claim with different cash-flow and conversion terms. They should not be described as interchangeable ways to own Bitcoin.

This is why a treasury company's headline balance cannot be translated directly into a stock target. A common shareholder may benefit when financing increases BTC per diluted share, while a preferred holder may care more about dividend coverage and asset priority. The correct comparison starts with the security being purchased, then follows the claims above and below it.

Buying Bitcoin does not create operating earnings

A treasury purchase exchanges one asset, usually cash, for another asset. It does not generate revenue at the transaction date. Fair-value gains can later increase reported income when Bitcoin appreciates, but those gains are non-cash unless the company sells. Analysts should not treat accounting appreciation as money available for payroll, interest or preferred dividends.

The distinction becomes especially important when a company describes Bitcoin as a corporate hurdle rate. Management may judge projects against expected BTC appreciation, yet creditors and employees are paid from liquid resources. A sustainable model shows how the operating business, reserve cash and financing capacity cover obligations without depending on an unrealized gain.

Why the flywheel reverses

A falling Bitcoin price can reduce asset value and pressure the stock's premium. If the stock then trades below adjusted NAV, common issuance purchases less BTC per unit of dilution. Debt markets may demand more collateral or higher coupons at the same time, closing the routes that previously supported accumulation.

The reversal is path dependent. Preferred dividends and interest continue even when the stock cannot be issued attractively. If unrestricted cash is insufficient, management may sell BTC, refinance on worse terms or issue discounted shares. Each response can further reduce confidence and mNAV.

This is why the Bitcoin treasury risk framework tests drawdown, premium compression and a closed financing window together rather than one variable at a time.

How company KPIs can mislead

BTC Yield usually measures the percentage change in Bitcoin per assumed diluted share over a period. It is not yield paid to shareholders, income produced by Bitcoin or total shareholder return. The metric can still be useful when the company publishes its denominator, bridge and exclusions.

Investors should reconstruct the basic ratio from settled holdings and a consistent diluted share count, then explain any difference from management's number. A divergence may be legitimate, but it should never remain unexplained.

Average acquisition cost is similarly limited. It can show purchase discipline and unrealized gain or loss, but it does not measure financing cost. Two companies can buy at the same BTC price while creating very different shareholder outcomes because one used low-cost equity and the other used expensive senior capital.

How financing instruments change the flywheel

The funding choice determines whether a Bitcoin purchase improves common-share exposure or simply increases the company balance sheet. ATM equity depends on a trading premium and creates dilution; convertibles trade a lower coupon for future conversion risk; preferred shares sit ahead of common equity; and secured debt adds collateral and maturity pressure. The financing decision is therefore part of the business model, not a separate back-office step.

Before calling a transaction accretive, compare the capital cost, purchase completion, senior claims, diluted denominator and reporting date. The same instrument can help one treasury company and weaken another when its mNAV, liquidity or operating cash flow differs.
